Agreement

These Terms of Service ("Terms") govern your use of the website asterislabs.com and all products and services provided by My Cosmic Message Pty Ltd (ABN 30 652 358 159), trading as ASTERIS Labs ("we", "us", "our"). By accessing our website or engaging our services, you agree to these Terms.

Services

ASTERIS Labs provides decision governance infrastructure, diagnostics, consulting, web design, search engine optimisation, and managed hosting services. Specific service terms, deliverables, pricing, and timelines are defined in individual service agreements or as published on our website at the time of purchase.

Our current services include: FORGE Terminal (free diagnostic), FORGE Diagnostic ($750 AUD), FORGE Full Report ($750 AUD), Founder License ($17,000 AUD), Claude Whisperer ($500 AUD), YCV Web Design by Asteris (custom quote), Proto SEO (from $250 AUD), and Orion Web Service hosting (from $99/month AUD). Pricing is subject to change. Published prices at the time of booking or agreement apply.

Booking and payment

Service bookings are made through Cal.com or by direct agreement. Payment terms are specified at the time of booking. One-off services require payment before or at commencement. Monthly services are billed in advance. Invoices are payable within 14 days unless otherwise agreed.

All prices are in Australian Dollars (AUD) and are inclusive of GST where applicable.

Monthly services

Monthly services (Proto SEO monthly tiers, Orion hosting) operate on a month-to-month basis with no lock-in contracts. You may cancel a monthly service at any time by providing written notice before the next billing cycle. Cancellation takes effect at the end of the current paid period. No refunds are provided for partial months.

Refunds

One-off services (FORGE Diagnostic, FORGE Full Report, Claude Whisperer) are non-refundable once work has commenced. If we have not commenced work, a full refund will be provided upon request. For the Founder License, refund terms are specified in the individual service agreement.

If you are dissatisfied with a deliverable, contact us within 7 days of delivery. We will work with you to resolve the issue. Our commitment is to deliver what was agreed.

Deliverables and intellectual property

Client deliverables: Upon full payment, you own the deliverables created specifically for you, including website designs, diagnostic reports, governance documents, and decision constitutions. You receive a perpetual, non-exclusive licence to use, modify, and distribute these deliverables for your business purposes.

ASTERIS IP: Our methodologies, frameworks, diagnostic systems, archetypal governance models (including the Pantheon Layer), Hell Events taxonomy, FORGE diagnostic engine, and all proprietary tools and processes remain the intellectual property of My Cosmic Message Pty Ltd. You may not reproduce, redistribute, resell, or create derivative works from our proprietary systems without written permission.

Third-party components: Where deliverables include third-party software, plugins, or services, those components are subject to their respective licences.

Website and diagnostic tools

The FORGE Terminal diagnostic is provided free of charge for informational purposes. Diagnostic results are indicative, not definitive. They identify potential governance gaps based on your responses and should not be relied upon as professional advice without further consultation.

You may use our website for lawful purposes only. You must not attempt to interfere with the operation of our website, submit false or misleading information through our forms, use automated tools to scrape or copy website content, or reproduce our proprietary content without permission.

Confidentiality

We treat all client information as confidential. We will not disclose your business information, diagnostic results, governance documents, or any other client materials to third parties without your consent, except where required by law or where necessary to deliver our services (for example, sharing with sub-contractors under appropriate confidentiality arrangements).

Limitation of liability

To the maximum extent permitted by Australian law, ASTERIS Labs provides its services on an "as is" basis. We do not guarantee specific business outcomes, revenue increases, or competitive advantages. Our services provide infrastructure and frameworks; results depend on implementation by the client.

Our total liability for any claim arising from our services is limited to the amount you paid for the specific service giving rise to the claim. We are not liable for indirect, consequential, or incidental losses including lost profits, lost data, or business interruption.

Nothing in these Terms excludes or limits liability that cannot be excluded under Australian Consumer Law.

Indemnification

You agree to indemnify and hold harmless ASTERIS Labs, its officers, and contractors from any claims, losses, or expenses arising from your use of our services in a manner inconsistent with these Terms or any applicable law.

Force majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, pandemics, internet outages, or third-party service failures.

Governing law

These Terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the non-exclusive jurisdiction of the courts of New South Wales.

Changes to these terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. For active service engagements, we will notify you of material changes. Continued use of our website or services after changes constitutes acceptance.
